Tutor Provider Agreement

This Tutor Provider Agreement (“Tutor Agreement”) is between [LEGAL BUSINESS NAME], doing business as Aralio (“Aralio”), and the adult Tutor who accepts it (“Tutor”). It supplements the Aralio Terms, Privacy Policy, Safety Standards, and each confirmed booking.

Publication status: Pending final business and legal approval. This document is included for preview and onboarding review only.

1. Application and approval

The Tutor confirms they are at least 18 and that all identity, qualification, license, subject, rate, experience, availability, tax, and payout information is accurate and current. Application, document submission, or earlier approval does not guarantee listing, bookings, volume, earnings, or continued approval.

Aralio may request original/updated evidence, verify with an issuer/public source/provider, and approve only the service categories supported by evidence. Aralio may reject or withdraw approval for incomplete/expired credentials, material misrepresentation, safety risk, legal restriction, repeated service failure, or Platform-policy breach.

2. Relationship and authority

Under the proposed launch model, the Tutor independently provides the tutoring service and is not an Aralio employee, agent, partner, franchisee, or representative. The Tutor cannot bind Aralio, make warranties for Aralio, receive money on Aralio’s behalf outside the approved workflow, or appoint a substitute without prior approval.

The Tutor controls lawful teaching methods and preparation while complying with confirmed booking terms, professional standards, child-safety rules, privacy/security requirements, and applicable law. This section must be reviewed against the real level of operational control and Philippine labor/tax law; labels alone do not determine legal status.

3. Credentials and public claims

The Tutor authorizes Aralio to process requested credentials for verification, safety, Platform administration, disputes, and legal compliance under the Tutor credential notice and Privacy Policy. A separate consent will be used only if consent is the lawful basis for a specific sensitive-data purpose.

The Tutor must not claim a license, specialty, accreditation, experience, affiliation, result, or service that is inaccurate or outside verified scope. The Tutor must notify Aralio promptly of expiry, suspension, restriction, disciplinary action, or another material change. Aralio decides the wording of public badges based on completed checks.

4. Service standards

The Tutor must:

  • review the accepted booking and relevant need-to-know Student information;
  • arrive on time and deliver the confirmed duration and scope;
  • use lawful, developmentally appropriate, non-discriminatory materials;
  • maintain reliable equipment/connectivity and an appropriate teaching environment;
  • provide accurate session/completion information without falsifying attendance or outcomes;
  • communicate with the adult Parent through approved channels;
  • follow the no-recording, confidentiality, privacy, and child-safety rules; and
  • cooperate reasonably with support, refund, quality, privacy, and safety reviews.

The Tutor must not guarantee educational/clinical results, diagnose or treat outside lawful scope, solicit off-platform payment, move an Aralio relationship off-platform to avoid fees/safeguards, or permit an unapproved person to teach.

5. Student privacy and confidentiality

Student information is confidential and provided only for an accepted or active booking. The Tutor may use it only to prepare and provide the approved service, communicate with the Parent, create the permitted session record, and make a necessary safety report.

The Tutor must not download or retain unnecessary copies, disclose information to family/employers/other Tutors, use it for advertising/portfolio/research/model training, or contact the Student directly. On loss of access, booking closure, or Aralio request, the Tutor must securely delete local copies unless a lawful hold applies and confirm deletion when requested.

6. Bookings, cancellations, and no-shows

The Tutor may accept, decline, or propose a new time through the Platform. Acceptance creates a duty to reserve the confirmed time and deliver the session. The Tutor must promptly report inability to perform and must not pressure a Parent to cancel on the Tutor’s behalf.

Tutor cancellation/no-show ordinarily returns 100% of affected Credits to the Parent. Repeated late cancellation, no-show, poor preparation, or inaccurate completion reporting may lead to warnings, ranking/listing limits, loss of payment, re-verification, suspension, or termination. Emergency/safety circumstances receive documented review.

7. Fees, earnings, and payout

The confirmed booking shows the Parent price. The Tutor earnings record must show the gross Tutor amount, Aralio fee, adjustments, withholding/tax if applicable, and net payable amount.

No amount is payable for an unaccepted, cancelled, invalid, fraudulent, materially incomplete, or unapproved off-platform session. Aralio may place a proportionate hold on the affected amount during a genuine refund, chargeback, fraud, privacy, safety, or service dispute; unrelated undisputed earnings should not be withheld without a lawful reason.

The Tutor is responsible for personal tax, registration, permits, invoicing/receipts, and professional compliance except to the extent Aralio must withhold, report, or perform a legal obligation. A qualified accountant/counsel must approve the final process.

8. Materials and intellectual property

The Tutor retains ownership of original materials, subject to any third-party rights. The Tutor grants the Parent/Student a non-exclusive license to use delivered lesson materials for personal educational purposes. The Tutor grants Aralio the limited rights necessary to transmit/support materials and investigate a report. The Tutor warrants that uploaded/shared material is lawful and does not infringe rights.

9. Reviews and performance information

Eligible Parents may submit honest reviews. Aralio may use service metrics and substantiated reports for quality, listing, support, and enforcement. Aralio should provide a fair opportunity to respond where appropriate, but may restrict access immediately when delay creates material risk.

10. Safety, complaints, and cooperation

The Tutor must comply with the Community and Child Safety Standards and complete required privacy/safety training before activation. The Tutor must preserve requested evidence, avoid retaliation or private confrontation, and cooperate with proportionate investigations. Aralio may report matters to authorities when lawfully required or necessary to protect a person.

11. Suspension and termination

Either party may end the relationship subject to confirmed sessions, unresolved cases, payments, record retention, and law. Aralio may immediately restrict access for child risk, fraud, data misuse, credential misrepresentation, unlawful conduct, or system risk. For ordinary quality/administrative concerns, Aralio should provide notice and an opportunity to respond where appropriate.

Termination does not eliminate confidentiality, privacy, child-safety, intellectual-property, payment, tax, legal-hold, dispute, or liability obligations that should survive. Final undisputed earnings will be paid under the approved schedule, subject to lawful deductions/holds.

12. Liability and insurance

The Tutor is responsible for their own professional acts and omissions, legal scope, and materials. The final agreement must decide whether specific Tutor categories must carry professional liability or other insurance. No indemnity or liability limitation will exclude a duty/remedy that cannot lawfully be waived.

13. General and disputes

Philippine law governs. Complaints should first use Aralio’s internal process at [SUPPORT/COMPLAINT URL], without waiving lawful remedies. Electronic acceptance and version records may evidence this agreement. Aralio may require re-acceptance for material changes. Historical versions remain available.
