Terms of Service
1. Agreement and eligibility
These Terms of Service (“Terms”) are a binding agreement between you and [LEGAL BUSINESS NAME], doing business as Aralio (“Aralio,” “we,” “us,” or “our”). They govern your access to araliolearning.co and related marketplace, dashboard, discovery, booking, messaging, Aralio Credit, support, and administrative features (the “Platform”).
You may register only if you are at least eighteen (18), legally able to enter into this agreement, and registering as a Parent or Tutor. If you act for an organization, you confirm authority to bind it. By actively selecting the Terms checkbox and completing the legal-onboarding step, you agree to the version identified in the acceptance record.
Students below 18 do not create accounts, accept the adult Terms, purchase Credits, or control Platform access in the MVP. A Parent or legally authorized adult manages each Student profile. Admin accounts are created only through Aralio’s authorized process and are not available through public signup.
2. What Aralio provides
Aralio is a Philippines-first, web-based tutoring marketplace. The Platform helps Parents find approved Tutors and specialists, create Parent-managed Student profiles, request and manage sessions, pay through approved methods, communicate with adult Tutors, and raise support or safety concerns.
Under the proposed launch model, Tutors provide the tutoring services as independent service providers, not as Aralio employees, agents, partners, or representatives. Aralio facilitates discovery and transactions, administers Platform rules, confirms manual payments, maintains the Credit ledger, and may intervene for safety, refunds, fraud, moderation, or dispute handling. This allocation does not exclude duties that law imposes on Aralio.
Aralio is not a school, emergency service, medical or diagnostic provider, or substitute for licensed medical, psychological, occupational, speech, behavioral, or other regulated care. A Tutor must not market tutoring as clinical treatment unless the Tutor is properly licensed, the service is lawful, and the booking clearly states the professional service. Aralio does not guarantee grades, admission, certification, treatment, or a particular educational result.
3. Accounts, verification, and security
You must:
- provide accurate, current, and complete information;
- keep passwords, authentication links, and verification codes confidential;
- use only your assigned role and permissions;
- promptly update material account, contact, credential, availability, or payment information; and
- notify Aralio through [SECURITY/SUPPORT CONTACT] if you suspect unauthorized access or account misuse.
Aralio may request identity, business, professional-license, credential, tax, payout, or risk information reasonably related to a role or transaction. Aralio does not ordinarily collect government ID from Parents during MVP signup. Tutor applicants may be asked for private verification documents under a just-in-time privacy notice.
A “verified,” “licensed,” “specialist,” or similar badge describes only the categories and validity checks stated on the Platform at the time of review. It is not an unlimited guarantee of identity, character, competence, suitability, safety, future conduct, or continuing license status. Aralio may refuse, pause, repeat, or withdraw verification when evidence is incomplete, expired, inconsistent, or reasonably questioned.
4. Parent and guardian responsibilities
A user registering as a Parent confirms that they are the Student’s parent/legal guardian or are otherwise legally authorized to arrange tutoring and provide the Student information. The Parent is responsible for accurate information and for reviewing, updating, or requesting deletion when information is no longer needed.
The Parent must:
- add only the minimum information reasonably useful for matching and tutoring;
- not upload Student government IDs, complete medical files, precise home address, private social-media information, or unrelated family information unless lawfully requested with a specific notice;
- review the Children’s Privacy Notice and actively confirm authority before creating the first Student profile;
- provide age- and need-appropriate supervision and remain reasonably available during a session;
- provide a safe, appropriate learning environment and suitable equipment/connectivity;
- prevent the Student from independently using the Parent account, buying Credits, or privately messaging a Tutor; and
- report inappropriate contact, safety concerns, or material booking issues promptly.
Withdrawing a consent or authority on which continued Student-profile processing depends may require deactivation or deletion of the profile and may prevent future bookings. Aralio may retain limited records lawfully required for completed transactions, safety, disputes, fraud prevention, or legal obligations.
5. Tutor responsibilities and professional standards
A Tutor applicant must be at least 18, provide truthful qualifications, keep profile and credential information current, and offer only services they are legally and professionally competent to provide.
Tutors must:
- deliver accepted sessions professionally, punctually, and according to the confirmed subject, duration, schedule, price, meeting method, and learning scope;
- use developmentally appropriate materials and respect the Student’s dignity, needs, culture, boundaries, and Parent instructions;
- prepare and use lawful materials and respect intellectual-property rights;
- avoid diagnosis, prescription, guaranteed outcomes, or regulated professional claims beyond verified qualifications and lawful scope;
- never discriminate, harass, shame, threaten, exploit, manipulate, groom, sexualize, or engage in romantic, violent, or otherwise inappropriate conduct involving a Student;
- never seek direct Student contact, personal phone/email/social accounts, home address, external payment, gifts, secrets, private meetings, or unnecessary personal information;
- communicate with the adult Parent through approved Platform channels and share only necessary meeting links;
- not record, photograph, screenshot, stream, post, or publish a Student, Parent, session, profile, or private message without Aralio authorization and all required notice/consent;
- keep Student and Parent data within approved systems and delete local copies when no longer necessary; and
- report urgent child-safety concerns through [SAFETY CHANNEL] and to the proper authority when legally required, without conducting an independent investigation or promising secrecy.
Tutors are responsible for their equipment, connectivity, work methods, permits, registration, taxes, professional obligations, and lawful invoicing unless a written agreement says otherwise. The Tutor Provider Agreement and Safety Standards also apply. The more specific role document controls only for its subject and only to the extent lawful and properly disclosed.
6. Tutor approval and public profiles
Tutor registration does not guarantee approval, listing, bookings, or earnings. Aralio may approve, reject, request more information, limit services, require re-verification, suspend, or remove a listing based on documented quality, safety, legal, credential, fraud, availability, or Platform criteria.
Only approved profile fields may be displayed publicly. Government IDs, diplomas, certificates, résumés, PRC/license documents, reviewer notes, background-check details, and private payout/tax records must remain private. A Tutor must notify Aralio promptly if a license expires, is restricted, or is subject to a material complaint or disciplinary action relevant to the offered service.
7. Bookings and sessions
A request is not confirmed until the Tutor accepts it and any required payment or Credit reservation is confirmed. Before final confirmation, Aralio must display the Tutor, Student nickname, subject, Philippine Time schedule, duration, total price, Credit amount, fees/taxes if applicable, meeting method, and cancellation/no-show consequence.
The Parent and Tutor must check booking details promptly. A Tutor may not send a substitute without prior Aralio and Parent approval. A Parent may not substitute an unrelated Student without updating the booking. Schedule changes must use the approved flow and are effective only when recorded or confirmed.
A session may occur through an Aralio feature or an approved/agreed third-party meeting method. A meeting link may be shared through the adult Platform conversation. Personal contact sharing, private Student contact, and off-platform payment remain prohibited. Unless a session-specific notice states otherwise and all legal requirements are satisfied, Aralio does not record tutoring sessions in the MVP.
8. Cancellations, rescheduling, no-shows, and service failure
The detailed Cancellation, Refund and Credits Policy, the specific booking disclosure, and non-waivable law apply.
Proposed pilot rules requiring written approval before launch:
- cancellation/rescheduling at least 24 hours before start: return 100% of reserved or charged Credits;
- Parent cancellation less than 24 hours before start: return 50%;
- Parent/Student no-show after a 15-minute grace period: charge up to 100%;
- Tutor cancellation or no-show: return 100% to Parent; Tutor earns nothing for the session;
- Aralio-confirmed Platform or meeting failure that prevents reasonable delivery: return 100%; and
- emergency, safety, duplicate-charge, or force-majeure cases: admin review may grant a different lawful remedy.
The exact consequence displayed before confirmation controls if it is more favorable to the consumer or specifically approved. Aralio must not change a confirmed booking’s financial consequence retroactively. Nothing here limits a remedy required by consumer law.
9. Prices, payments, and Aralio Credits
Prices are displayed in Philippine pesos. Payment is made only through methods and instructions shown by Aralio, which may include GCash, Maya, bank transfer, or an approved payment link. Never pay a Tutor directly unless Aralio expressly authorizes the method in the booking flow.
During the manual-payment pilot, a submitted reference or proof is subject to administrative review. Credits are added only after confirmation. Duplicate, invalid, reversible, or fraudulent payments may be rejected, reversed, or held while investigated. A receipt or transaction record will be made available where applicable.
Aralio Credits are limited-purpose service credits usable only for eligible services on the Platform. They are non-transferable between users and may not be sold or used for off-platform payment. A peso or peso-equivalent display is an accounting reference for services; it does not represent a bank account, deposit, investment, interest-bearing product, insured balance, remittance product, or general-purpose cash wallet.
Purchased Credits do not expire during the pilot unless a lawful expiry is clearly disclosed before purchase and approved for launch. Promotional Credits may have separately disclosed conditions after legal review. Credits are created, reserved, charged, refunded, reversed, or adjusted only through an append-only transaction ledger and authorized server/admin process; no client may directly alter a balance.
The legal/operator team must assess the Credit model under consumer, gift-check/prepaid-value, BSP, tax, and accounting rules before activation. These Terms do not determine regulatory classification.
10. Refunds, chargebacks, and Tutor payouts
Approved ordinary booking adjustments may restore Credits. Aralio may return funds through the original or another lawful method for duplicate/invalid payments, an undelivered service, account closure, a consumer remedy, or another approved reason. The method, amount, and processing estimate must be communicated. Aralio may ask for reasonable information but must not impose a process that defeats non-waivable rights.
A Parent should contact Aralio before filing a chargeback so records can be reconciled, but this does not waive lawful chargeback or consumer rights. Aralio may temporarily restrict disputed Credits while a payment reversal is investigated.
Tutor earnings are separate from Parent Credits. A Tutor becomes eligible for payout only after the session is marked complete, required confirmation or review is satisfied, and the approved dispute hold ends. Aralio may hold the affected payout during a genuine dispute, safety review, fraud concern, refund, or legal obligation. Platform fees, withholding, documents, payout schedule, failed payout handling, and taxes are governed by the Tutor Provider Agreement.
11. Messaging, acceptable use, and safety
Aralio messaging is for booking-related communication between adult account holders. Authorized Aralio personnel or safety tools may review or preserve messages when reasonably necessary for support, safety, moderation, fraud prevention, transaction reconciliation, disputes, security, privacy requests, or law, as described in the Privacy Policies.
You must not:
- share or solicit direct contact details, external payment instructions, authentication credentials, or unnecessary Student information;
- harass, threaten, discriminate, exploit, groom, sexualize, impersonate, defraud, or endanger another person;
- upload malware, scrape data, bypass access controls, test vulnerabilities without written authorization, or interfere with the Platform;
- post illegal, infringing, deceptive, defamatory, violent, sexually explicit, or privacy-invasive material;
- circumvent Aralio to avoid applicable fees or safety controls for a relationship formed through the Platform; or
- use Student information, messages, images, or session material for advertising, public portfolios, unrelated research, model training, or another unauthorized purpose.
Automated tools may flag content for human review; a flag is not a final finding. Aralio may issue warnings, hide content, restrict messaging, preserve evidence, suspend access, or make a lawful report based on context and proportionality. See the Community and Child Safety Standards.
12. Privacy
The Adult Privacy Policy and Children’s Privacy Notice explain data processing. They are privacy notices and are not replaced by these Terms. Privacy acknowledgement is recorded separately from contractual agreement. Marketing consent is separate, optional, and off by default.
A Tutor may access only Student information needed for an accepted or active booking. Student learning-needs or SPED/support information must not be copied, retained outside approved systems, disclosed, or used after access ends, except for a lawful safety report or legal obligation.
13. Content, lesson materials, and reviews
Aralio and its licensors retain rights in the Platform, brand, software, templates, and Aralio-created materials. While authorized, a user receives a limited, revocable, non-exclusive, non-transferable right to use the Platform for its intended purpose.
Users retain ownership of content they lawfully submit and grant Aralio a limited license to host, reproduce, transmit, review, and display it only as reasonably necessary to operate, secure, support, moderate, and enforce the Platform and meet legal obligations. This does not authorize public advertising using a Student’s identity, image, or session content without separate lawful consent.
Tutors retain rights in original lesson materials unless separately agreed. Parents and Students may use provided materials for personal educational use and may not commercially redistribute them.
Parents may submit truthful reviews after eligible sessions. Reviews must avoid Student-identifying/sensitive data and comply with these Terms. Aralio may moderate content that is unsafe, irrelevant, fraudulent, unlawful, or privacy-invasive, but will not remove a review merely because it is critical.
14. Suspension, termination, and records
A user may stop using the Platform and request closure through the available settings or support channel. Aralio may warn, restrict, suspend, or terminate an account, profile, booking, or listing when reasonably necessary for safety, fraud, payment abuse, credential issues, legal compliance, repeated service failure, breach of these Terms, or risk to users or systems.
Where appropriate, Aralio will give notice and an opportunity to provide relevant information. Immediate restriction may occur if delay could endanger a child, person, evidence, funds, privacy, systems, or legal compliance.
Closure does not erase records that must reasonably remain for transactions, Credits, refunds, payouts, tax, safety, fraud prevention, disputes, privacy requests, legal claims, or regulation. Remaining purchased Credits must be handled under the approved refund/closure policy and law, not automatically forfeited. Provisions that by nature should survive continue.
15. Service availability and third-party services
Aralio does not promise uninterrupted or error-free operation. Maintenance, internet/provider failures, security events, force majeure, or pilot changes may affect service. Aralio will use reasonable efforts to restore material service and correct affected bookings.
Third-party authentication, hosting, payment, and meeting services may have separate terms and notices. Aralio is not responsible for a third party’s independent service/content, but remains responsible for obligations applicable to providers it appoints to process data or perform Platform functions.
16. Disclaimers and liability
To the maximum extent permitted by law, the Platform is provided on an “as available” basis. Aralio does not guarantee a specific match, Tutor availability, learning result, or the accuracy of every user statement.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, or consequential loss that was not reasonably foreseeable. Where a monetary cap is legally permitted, Aralio’s aggregate liability arising from the affected service will not exceed the amount the claimant paid to Aralio for that service during the six months before the event.
These limitations do not exclude or restrict liabilities or remedies that cannot lawfully be excluded, including mandatory consumer rights, approved refunds, fraud, willful misconduct, gross negligence where it cannot be limited, death/personal injury caused by negligence where applicable, or privacy/child-safety duties and legal remedies that cannot be waived.
17. Complaints and disputes
First submit a complaint through [SUPPORT/COMPLAINT URL] or hello@araliolearning.co with the booking/transaction reference and clear issue details. Safety concerns may be reported at any time through [SAFETY CHANNEL]. Aralio will maintain an accessible internal redress process. Under the Internet Transactions Act framework, counsel must confirm the applicable seven-calendar-day internal-redress rule and the final complaint notice before publication.
Aralio may review booking, payment, Credit, message, verification, and support records; request information; temporarily hold an affected payout; and issue a correction, Credit adjustment, refund, warning, restriction, or other lawful outcome. The internal process does not waive non-waivable rights or prevent contact with the Department of Trade and Industry, National Privacy Commission, law enforcement, child-protection authority, or a court when permitted.
These Terms are governed by Philippine law. The parties should attempt good-faith resolution or voluntary mediation where appropriate. A court proceeding must be filed in a court with lawful jurisdiction and venue. No provision requires a consumer to surrender a venue, agency remedy, or right that cannot legally be waived.
18. Changes and re-acceptance
Aralio may update the Platform and Terms for product, safety, legal, or operational reasons. The current version, effective date, and a meaningful summary will be published. A material contractual change may require active re-acceptance before continued access to affected protected/transactional features. A change does not retroactively remove accrued payment, refund, privacy, consumer, or Tutor earning rights.
19. General provisions
These Terms, role-specific agreement, Privacy notices, Safety Standards, Cancellation/Refund/Credits Policy, and confirmed booking details form the applicable agreement. A more specific lawful term controls only for its subject.
If a provision is invalid or unenforceable, it will be limited to the minimum necessary and the remainder continues. Failure to enforce once is not a waiver. A user may not assign an account or agreement without Aralio’s written consent. Aralio may assign in a lawful reorganization or Platform transfer, subject to consumer/privacy requirements.
Electronic records, checkbox events, authentication, version/hash records, and communications may evidence agreement and transactions as permitted by the Electronic Commerce Act and evidence rules. A user may view or request the document version they accepted.
